The Challenge
This well-known Data Base Management Company was established in the early 1970's and had an installed base of several million users. The Company had been poorly managed, but had excellent technology and strong customer loyalty. Since the death of the owner, the Company was controlled by attorneys for the estate for a period lasting nearly five years. During that time, the Company lacked aggressive leadership and failed to bring to market newly developed products.
The Method
Devonshire Holdings, Inc. represented the former management team and, together with this team, organized a Management Buy-Out of the Company from the estate in a competitive transaction conducted in probate court. Devonshire arranged debt and equity financing for the MBO of approximately $20 million.
The Results
The Devonshire team was successful in a competitive bid to acquire the Company from the estate at a price equal to approximately one times revenue in March 2000, when similar companies were selling at ten- to fifty-times revenue. Devonshire then assisted in merging the Company into a public company, the combination of which offers a complete suite of development products. The Company is cash-flow-positive and poised for growth. |
